These Terms of Service ("Terms") are a contract between you and SOFTSHORE TECHNOLOGY LTD ("chartTrigger", "we", "us"), of 128 City Road, London, United Kingdom, EC1V 2NX, governing your access to and use of the chartTrigger software, its dashboard, and the public site at charttrigger.com (together, the "Service").

Read this first. chartTrigger is execution and alerting software. It carries out rules you define; it does not manage your money, does not provide investment advice, and no output of the Service — including a Proving Ground simulation — is a recommendation to trade or a forecast of results. Trading leveraged products carries a high risk of loss. You alone decide what rules to arm and you alone are responsible for what they do.

1. Acceptance of these terms

By creating an account, or by using the Service in any way, you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of a company or other entity, you confirm you have the authority to bind it, and "you" means that entity. If you do not agree, do not use the Service.

2. What the service is

chartTrigger lets you:

  • define trading rules ("Blueprints") built from chart drawings or a form-based builder;
  • connect your own MetaTrader 5 broker accounts ("berths"), each run as an isolated terminal instance we start and supervise on your behalf;
  • test a rule against historical price data ("Proving Ground"), run it without sending live orders ("Ghost Mode"), and arm it to execute automatically once you choose to;
  • receive alerts about what your rules do, through channels we operate and destinations you register and confirm; and
  • review a record of what each rule did and why (its "Provenance") and an audit trail of account activity.

The Service acts only on instructions your rules generate. We do not select trades, size positions, or decide when to enter or exit a market on your behalf, and we do not hold, custody, or have withdrawal access to any funds in your broker account at any time.

3. Not investment advice

Nothing in the Service — including templates, sample conditions, Proving Ground output, or anything we publish on charttrigger.com — is investment, financial, legal or tax advice, a recommendation, or an offer or solicitation to buy or sell any financial instrument. We are not your broker, adviser, portfolio manager or fiduciary. Historical simulation results are exactly that: a record of how a rule would have behaved against past data under the assumptions you set, not an indication of future performance.

4. Eligibility and your account

  • You must be at least 18 and legally able to enter contracts and to trade the instruments your rules cover in your jurisdiction.
  • You are responsible for the accuracy of the information you give us, for keeping your credentials confidential, and for everything that happens under your account, including while an administrator is assisting you at your request.
  • You must tell us promptly if you suspect unauthorised access to your account.
  • Access to parts of the Service depends on an active subscription or an approved broker-partner claim, as described in Section 6 and on your billing page.

5. Your broker relationship

Your trading account, its funds and its terms of business are between you and your broker, not us. We connect to a MetaTrader 5 terminal using credentials you provide, encrypted at rest, so that your rules can read prices and place orders exactly as if you had clicked the button yourself. We are not a party to your brokerage agreement, do not guarantee execution, fill price, uptime, or the accuracy of any price feed, and are not responsible for your broker's acts, insolvency, or refusal to execute an order.

6. Subscriptions, payment and the broker-partner route

The Service is offered under the plans published on your billing page, each setting limits on how many berths, rules and cohorts you may run. Two routes bring an account to active status, and an operator confirms both by hand before access starts:

  • Paying us directly. You declare a payment on your billing page; it is recorded as pending and grants nothing until we confirm the funds arrived, at which point your subscription period starts or extends.
  • A partner broker's affiliate programme. You open and fund an account with a listed partner broker and claim it; we verify the account and deposit with that broker before granting the access period stated for that broker.

Fees are stated in the currency shown on the plan and are not refundable except as described in our Refund Policy. We may change plan pricing or limits for future billing periods; we will not change what you have already paid for.

7. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, or in a way that breaches your broker's terms of business;
  • attempt to gain unauthorised access to another customer's account, data, or berths;
  • reverse-engineer, resell, sublicense or white-label the Service without our written agreement;
  • submit false information on a broker-partner claim or a declared payment; or
  • use the Service, including inbound webhooks or the contact form, to transmit malware, spam, or attempt to disrupt the Service for other customers.

We may suspend or terminate access for a breach of this section, as described in Section 13.

8. Availability and changes to the service

We aim to keep the Service available and rules evaluating continuously, but broker terminals, third-party networks, and the Service itself can fail or need maintenance. We do not guarantee uninterrupted availability and are not liable for losses arising from downtime, a missed evaluation, or a delayed or failed order. We may add, change or remove features; we will not remove a feature you are actively paying for within a billing period without reasonable notice.

9. Intellectual property

The Service, its software, design and content (excluding data you supply, such as your rules and account configuration) belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your own trading during your subscription. You keep ownership of the rules you create; you grant us the licence needed to store, run and display them back to you as part of providing the Service.

10. Disclaimers of warranty

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that a rule will perform as expected, that historical simulation results predict live behaviour, or that the Service will be error-free or uninterrupted.

11. Limitation of liability

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud. Subject to that, to the fullest extent the law allows:

  • we are not liable for trading losses, lost profits, lost opportunity, or any loss arising from a rule you configured, armed or left armed, however that rule behaved;
  • we are not liable for indirect, incidental, special or consequential loss; and
  • our total liability to you for any claim arising from the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify us against claims, losses and expenses arising from your breach of these Terms, your misuse of the Service, or trading activity carried out by rules you configured or armed.

13. Suspension and termination

You may stop using the Service and cancel your subscription at any time from your billing page. We may suspend or terminate your account for breach of these Terms, non-payment, suspected fraud, or a legal or regulatory requirement, with notice where reasonably possible. On termination, armed rules are disarmed; your broker positions and account remain yours and are unaffected, since they are held with your broker, not with us.

14. Governing law and disputes

These Terms, and any dispute arising from them or the Service, are governed by the laws of England and Wales, and the courts of that jurisdiction have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you have in your own country of residence.

15. Changes to these terms

We may update these Terms from time to time. We will post the revised version here with a new "Last updated" date; continuing to use the Service after a change takes effect means you accept it. If a change is material, we will make reasonable efforts to notify account holders directly.
